1. Acceptance of Terms

By accessing or using our website or services, you agree to be bound by these Terms. If you are using our services on behalf of a company, you represent that you have authority to bind that company. If you do not agree, please do not use our services.

Technema Digitals provides digital marketing services including web development, e-commerce solutions, branding, SEO, Google Ads, social media advertising, web applications, domain registration, hosting, and website maintenance as described on our website.

3. Intellectual Property

Our Content: All website content, features, and functionality are owned by Technema Digitals and protected by copyright laws. You may not reproduce, distribute, or create derivative works without our written permission.

Your Project: Upon full payment, all intellectual property rights for work created specifically for you (websites, logos, custom code) are transferred to you. We retain the right to display completed work in our portfolio unless otherwise agreed in writing.

Client-Provided Materials: You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to all content, images, text, or other materials you provide to us for your projects.

4. Payment Terms

Pricing: All prices are listed on our website and subject to change without notice. Project quotes are valid for 30 days from the date of issue.

Invoicing: For project-based work, a 50% deposit is required to begin work, with the remaining 50% due upon completion before final delivery. For monthly services, payment is due at the beginning of each month.

Late Payments: Payments not received within 15 days of the due date may result in suspension of services until the balance is cleared.

Taxes: You are responsible for any applicable taxes on services purchased.

5. Refund Policy

We want you to be completely satisfied with our services. Please review our complete Refund Policy for detailed information about our 30-day money-back guarantee, non-refundable items, and how refunds are processed. The Refund Policy is incorporated into these Terms by reference.

6. Project Timeline

Project timelines provided are estimates and may vary based on:

  • Project complexity and scope
  • Client feedback and approval speed
  • Timely provision of content, images, and materials
  • Unforeseen technical challenges
  • Third-party service delays

We strive to deliver all projects within the estimated timeframe but cannot guarantee exact delivery dates. Delays caused by client feedback or content provision are not our responsibility.

7. Your Responsibilities

For projects where we are providing development or design services, you agree to:

  • Provide all necessary content, images, and information in a timely manner
  • Provide feedback and approvals within agreed timeframes
  • Ensure you have the rights to use any content, images, or materials you provide
  • Cooperate with us to achieve project goals
  • Review deliverables promptly and provide clear feedback

8. Revisions and Changes

Our packages include specific revision rounds as outlined in your project proposal. Additional revisions or scope changes beyond the agreed package may result in additional charges. Major scope changes may require a new project proposal and timeline.

9. Third-Party Services

Our services may involve third-party platforms, tools, or services (Shopify, WooCommerce, Google, Facebook, etc.). We do not control these third parties and are not responsible for their actions, changes to their platforms, or any issues arising from their services. Any third-party fees (domains, hosting, SSL, app subscriptions) are your responsibility.

10. Limitation of Liability

To the maximum extent permitted by law, Technema Digitals shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use our services
  • Any conduct or content of any third party
  • Any content obtained through our services
  • Unauthorized access, use, or alteration of your content

Our total liability to you for all claims shall not exceed the amount you paid us during the six months prior to the event giving rise to liability.

11. Disclaimer of Warranties

Our services are provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, whether express or implied, including but not limited to:

  • That services will be uninterrupted, timely, secure, or error-free
  • That results will meet your expectations
  • That any errors or defects will be corrected

We do not guarantee specific search engine rankings, traffic increases, or sales results from SEO, advertising, or marketing services.

You agree to defend, indemnify, and hold harmless Technema Digitals and its employees, contractors, and agents from any claims, damages, losses, liabilities, costs, and expenses arising out of or relating to:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content or materials you provide

13. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including breach of these Terms. Monthly services may be canceled by you with 30 days' written notice. Upon termination, you remain responsible for any outstanding payments.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law provisions. Any legal action arising out of these Terms shall be brought in the courts of Yellowknife, Northwest Territories, Canada.

15. Dispute Resolution

If you have any concern or dispute about our services, you agree to first try to resolve the dispute informally by contacting us at support@technemadigitals.com. We will work in good faith to resolve any issues. Only after attempting informal resolution may you pursue other remedies.

16. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Technema Digitals regarding our services and supersede any prior agreements.

17. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
